DRAFTING CONTRACTS SUMMER COURSE 2013

This course is addressed to those legal professionals who need to acquire or improve their writing skills in a field-specific environment. When lawyers draft contracts, they do not do it from scratch, as they usually deal with templates and documents that have already been drafted. Still, they have a labor-intensive task that requires an understanding of legal documents, training in reading and language expertise for their drafting tasks. How can I structure a condition to make it more flexible? Is the verb ‘may’ interchangeable with ‘might’? How can I punctuate the contract to make it more communicative? These are some of the questions and challenges that will be answered in this course.

- Standards and Elements of Legal Writing: prepositions, dates, punctuation, citations, some abbreviations.

- An introduction to Plain Language: avoiding wordiness and ambiguity.

- Contracts: structure and interpretation.

- Typical commercial provisions and ‘boilerplate’ or standardized clauses.

- Paraphrasing exercises: How would a lawyer put it when drafting a contract clause?

- Drafting clauses: expressing conditions, limitations, authorizations, drafting exemption clauses and other types of clauses.

- Working with sample and authentic clauses: redrafting exercises.
